Job Summary:
The Senior Vice President, Associate General Counsel for iHeartMedia, Inc. will be a hands-on, results-oriented, business-minded attorney with demonstrated experience in the following areas: mergers & acquisitions, 1934 Act compliance and reports (10-Ks, 10-Qs, 8-Ks and proxy statements), governance and board matters, and executive compensation. This role will work closely with the company’s Finance, Business Development, Investor Relations, Internal Audit, Total Rewards, Accounting, Tax and Treasury teams.
This role will interface regularly with the company’s board of directors, CEO, CFO, General Counsel and other members of the executive leadership team, to provide practical legal advice and counsel and manage, negotiate and execute on a broad range of corporate, securities law, corporate governance and M&A initiatives and the organization’s day-to-day operational needs and strategic priorities. This position reports directly to our General Counsel and can be based in any of our U.S. office locations. We are open to hiring remotely for the right candidate.
Role and Responsibilities:
Leading all areas related to the company’s securities laws matters and related compliance, including Securities Act and Exchange Act matters.
Preparing and reviewing SEC filings, including registration statements, Forms 10- K, 10-Q and 8-K, proxy statements, including shareholder proposals and proxy solicitations, and Section 16 reporting, including Forms 3, 4 and 5.
Supporting the corporate secretarial function and board of directors, including preparation of notices, agendas, and materials for board of directors and committee meetings, including audit, compensation and nominating and corporate governance committees.
Draft board minutes, resolutions, and actions, as well as manage the board and committees’ calendars and agendas.
Support HR on all executive compensation matters including the development and implementation of equity plans and grants.
Developing, refining, and maintaining policies and procedures to ensure compliance with SEC and other securities-related regulatory requirements applicable to publicly traded companies, including the Sarbanes-Oxley Act, Dodd-Frank Act, Nasdaq listing standards Regulation FD and insider trading.
Prepare for annual stockholder meetings, including proxy statements and meeting planning and logistics.
Advising on ISS, Glass Lewis and other proxy advisory service positions and corporate responses.
Support, develop and advise on ESG strategies and programs.
Advising on investor relations matters, including review of and collaboration on earnings announcements, earnings scripts, press releases, investor presentations, investor communications, internal communications, and other materials (including preparation of appropriate securities disclosure as necessary).
Leading the Legal Department’s activities on, and manage outside counsel with respect to, all capital markets and corporate financing transactions and related workstreams.
Support M&A transactions and strategic and venture investments, including coordination of legal strategy, negotiation and due diligence and manage outside counsel.
Partner with corporate development, finance and integration teams and manage cross-functional legal experts to execute transactions.
Participate in the design and development of corporate policies, procedures, and programs required for a public company and provide counsel and guidance on legal matters, regulatory interpretations, and on legal implications of all matters.
Assist in oversight of maintenance of all foreign and domestic subsidiaries.
Stay up-to-date and keep Legal team advised on external governance trends, SEC issues, general legal issues and best practices and reviewing and updating as necessary the firm’s governance documents, policies and guidelines.
Skills and Experience:
Minimum 10-15 years of relevant experience, including training at a leading national law firm as a general corporate, securities, corporate governance or M&A attorney and significant time spent in-house at a public company.
J.D. from a top law school with exceptional academic credentials.
Experience working with Board of Directors and senior management.
Broad and deep expertise in corporate and U.S. securities laws, corporate governance, and board governance matters, including best practices.
Familiarity with public company accounting, tax and finance processes, terminology, systems, and issues, including a basic knowledge of financial statements, GAAP accounting and tax matters preferred.
Essential skills include exceptional written and verbal communication skills, attention to detail, good judgment, a team-oriented attitude, solid interpersonal, time management, analytical skills, and the ability to handle multiple projects at one time.
Be highly analytical and have exceptional business and legal issue identification and problem-solving skills.
Have a practical, business-oriented approach to problem-solving and be able to effectively counsel internal clients by providing them with clear, concise, and commercial advice, and creative solutions where necessary, on established timelines to meet their business needs.
Strong interpersonal/relationship-building skills, including the ability to communicate legal considerations to non-lawyers.
Capable of interacting with, and establishing the respect and confidence of, senior business leaders.
Ability to influence and provide timely and effective legal and business advice and support at all organizational levels.
Good business judgment and sound decision-making.
Self-starter with ability to project manage independently in a fast-paced, environment and prioritize workflow.
Must be admitted, active and in good standing with the New York state bar, or, with another state bar, as applicable.
