Job Title
Senior Counsel – Global Asset Management

As a Senior Counsel and member of RBC Law Group, you will be a key Law Group contact in providing complex legal and regulatory advice and support to the RBC Global Asset Management (GAM) business in the U.S. and its global affiliates. In this role, you will work closely with other RBC attorneys supporting RBC GAM, senior management of RBC Global Asset Management (U.S.) Inc. (RBC GAM-US) and other functional groups, to provide support for a broad range of areas including strategic business initiatives and legal risk issues pertaining to the business.
This position will also assist with the coordination of external legal services to ensure cost-effective and efficient service delivery to the business. We are looking for someone who can offer an exceptional client experience and is keen to make a direct impact to our business as a key partner.
What will you do?

• Provide advice and support relating to overall strategy, launch, distribution and ongoing maintenance of products sponsored or advised by RBC GAM-US, such as mutual funds, private funds and collateralized loan obligations (CLOs).
• Provide advice relating to the US distribution and US regulatory implications of products sponsored or advised by RBC GAM affiliates.
• Provide advice and support relating to overall strategy of RBC GAM institutional business, including negotiating investment management agreements and advising on matters relating to institutional client onboarding.
• Provide general advice on regulatory requirements or restrictions impacting pooled investment vehicles and institutional segregated accounts and work with compliance and the business in formulating and executing policies and procedures for addressing legal, regulatory and reputational risks.
• Provide advice and support to the front office, including negotiating securities-related contracts such as master securities forward transaction agreements, repurchase agreements, futures clearing agreements and OTC derivatives generally.
• Provide legal support on new regulatory developments and regulatory reviews
• conducted by relevant regulators.

What do you need to succeed?
Must-have

• J.D. from an accredited law school and admitted to a U.S. state bar.
• Minimum of 5 years of private practice or in-house counsel experience
• Excellent drafting and communication skills and the ability to work effectively with senior management, key stakeholders and external service providers.

Nice-to-have

• Experience with the formation and ongoing maintenance of pooled investment vehicles, such as1940 Act mutual funds, private funds, and CLOs.
• Knowledge of asset management industry and regulatory environment.
• Experience with trading and derivatives documentation.
