Summary The Associate General Counsel position is in the Adjudication Group of the Office of the General Counsel. This position is located in Washington, DC and is open to all US citizens. Responsibilities The Adjudication Group in the Office of the General Counsel advises and assists the Commission in drafting and issuing published opinions in appeals from decisions of self-regulatory organizations, the Public Company Accounting Oversight Board, and the Commission’s administrative law judges. The Adjudication group also assists the Commission in drafting and issuing opinions in administrative proceedings set for hearing directly before the Commission. The incumbent will serve as the Associate General Counsel for the Adjudication group. Typical duties include: Consulting with and making recommendations to the Commission regarding (1) appeals from decisions of self-regulatory organizations, the Public Company Accounting Oversight Board, and the Commission’s administrative law judges; and (2) decisions in administrative proceedings set for hearing directly before the Commission. Reviewing and revising draft orders and opinions to ensure that written work accurately reflects the record, appropriately addresses legal questions, and is presented in a clear and concise manner. Advising the Commission, General Counsel, and Deputy General Counsel on legal questions arising in connection with the Commission’s administrative proceedings, including questions arising under the federal securities laws and the Administrative Procedure Act. Managing and directing attorneys within the group in the drafting of Commission orders and opinions, ensuring that high-quality work is consistently completed in a timely manner. Working with staff across the agency to resolve factual and legal issues. Performing supervisory duties, including performance management, training, and recruitment, and informing employees about agency policies, procedures, and goals as they relate to the work of the Adjudication group. Identifying operational priorities and adjusting staff assignments to comply with established deadlines. Planning, organizing, and carrying out projects independently, keeping other senior officers apprised of the status of those projects. Requirements Conditions of Employment Qualifications All qualification requirements must be met by the closing date of this announcement. Qualifying experience may be obtained in the private or public sector. Experience refers to paid and unpaid experience, including volunteer work done through National Service programs (e.g., Peace Corps, AmeriCorps) and other organizations (e.g., professional; philanthropic; religious; spiritual; community, student, social). Volunteer work helps build critical competencies, knowledge, and skills and can provide valuable training and experience that translates directly to paid employment. You will receive credit for all qualifying experience, including volunteer experience. Qualifying education must have been obtained from an accredited college or university recognized by the U.S. Department of Education. BASIC REQUIREMENT: All applicants must possess the following J.D. or LL.B. degree –AND– Active membership of the bar in good standing in any state, territory of the United States, the District of Columbia, or the commonwealth of Puerto Rico. (Note: proof of bar membership will be required before entry on duty. MINIMUM QUALIFICATION REQUIREMENT: In addition to meeting the basic requirement, applicants must also meet the minimum qualification requirement. SO-01: Applicant must have at least four years of post J.D. work experience identifying legal issues, conducting legal research, providing legal analyses, providing legal solutions/recommendations, and preparing legal documents, such as legal opinions, briefs, memoranda, correspondence, or motions, which also includes at least three years of specialized experience: 1. Providing a range of legal advisory services, including producing written legal opinions, orders, briefs, or memoranda, on questions of law to senior leaders within federal agencies and/or private-sector firms; 2. Negotiating legal and policy issues with senior-level officials; and 3. Managing a challenging and diverse workload and supervising and/or coordinating the work of other staff on novel legal and factual questions. Knowledge of and experience with the following is preferred but not required: 1. Applying the federal securities laws (including the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Advisers Act of 1940, the Sarbanes-Oxley Act of 2002, and the Dodd-Frank Act of 2010); 2. Interpreting and applying the Administrative Procedure Act and the precedent governing administrative proceedings in federal administrative agencies; and 3. Advising on matters related to the disciplinary proceedings of the self-regulatory organizations and the Public Company Accounting Oversight Board.
