This role will be central to helping ensure that the Company Secretarial team consistently delivers appropriate corporate governance and company secretarial administration across all areas of ASOS globally. The role requires a confident and efficient candidate, with excellent communication skills, who has the ability to adapt their approach to ensure excellent interaction with a wide variety of business areas, and the agility to work at ASOS’s fast pace.
Success in this role is helping the Deputy Company Secretary to ensure that the Board has complete confidence that the team have appropriately handled all matters relating to the operation of the PLC Board and the performance of the Department.
Responsibilities include but are not limited to:
Board meetings
o Assist the Deputy Company Secretary to facilitate the smooth operation of the Company’s formal processes and help organise PLC Board & Committee meetings; collate and distribute papers in a timely manner, ensuring quality and consistency; maintain the minute books for the PLC Board & Committees.
Annual General Meeting
o Assist the Deputy Company Secretary with organising the annual general meeting; assist with drafting and distributing necessary documentation; liaise with Registrars.
Annual Report & Accounts
o Assist with the preparation of the Annual Report and Accounts, including drafting and review of the non-financial aspects.
Listing Requirements, Share Dealing & Communication
o Set closed periods and issue reminders as appropriate; prepare and release routine Stock Exchange announcements; maintain insider lists.
o Operate the ASOS Share Dealing Code and deal with requests from employees and PDMRs; maintain Permission to Deal Register, Directors’ interests register and major shareholders register; ensure Stock Exchange announcements of PDMR dealings are made on a timely basis.
o Assist with maintenance of the Co Sec areas on the corporate website (www.asosplc.com)
Group Structure Subsidiaries & Company Secretarial Administration
o Assist the Deputy Company Secretary with the administration of UK and International subsidiaries, including ensuring all confirmation statements and statutory accounts are filed on time, and manage relationship with international service providers.
o Maintain statutory registers on Blueprint to ensure reliable and accurate information is maintained and all corporate filing completed in a timely fashion.
Team Support
o Responsibility for the prompt and accurate raising, receipting, updating and cancelling (as required) of Purchase Requisitions (PRs) for all Company Secretary spend
