Our fast-growing team in the UK is looking for an experienced Group Company Secretary to manage and prepare all aspects of company secretarial transactions.
Daily Duties and Main Responsibilities will include:
- Overseeing various company secretarial transactions (e.g. incorporation, share allotment, capital reduction, change of directors, strike off, amendment of articles of association, power of attorney, etc.) to include preparation and/or review of the necessary corporate approvals, Companies House filings, statutory registers updates etc. on behalf of clients;
- Prepare meeting agendas and board packs and ensure accurate minute taking at subsequent board and shareholder meetings
- Maintain the required statutory registers, ensuring the timely filing of returns with Companies House and other applicable organisations
- Ownership of global insurance portfolio, including responding to requests from insurance brokers and acting as a point of contact for queries from across the business
- Interaction with clients, board members, third party intermediaries such as banks, lawyers, accountants and tax advisors both in person and via written or telephone communication;
- Prepare and complete banking KYC and compliance.
- Develop and maintain knowledge of UK regulatory framework e.g. anti-money laundering directives.
- Participate in Group wide compliance projects working with global compliance team to implement new legislation.
Attributes and Experience Required:
- At least 3 years’ work experience in a corporate services provider, law firm or similar professional services business carrying out company secretarial and compliance work
- Knowledge of compliance requirements and AML regulations is preferred
- Understanding of company secretarial and/or compliance software, Carta knowledge an advantage.
- Excellent oral and written communication skills in English
- Flexible, proactive, presentable with a “can do” attitude
- Strong motivation to work in a fast growing, dynamic and challenging environment
- Experience working within the financial services sector
- Knowledge of companies legislation outside of the UK
- Knowledge of US regulatory environment
