Board Secretary Job Description
The Hecht Foundation is recruiting a Board/Governance secretary to join their team on a part time contract basis.
Originally established as the “1945” Foundation in 1962 by Lotte and John Hecht, the Hecht’s quietly supported many charitable organizations in Vancouver.

Main Responsibilities
· Ensures effective governance at all Board and Committee meetings and ensures that accurate documentation exists to meet legal requirements and to minute when, how and by whom the Board’s business was conducted. Maintains, secures and archives Board records and files, ensuring all legal and filing requirements are met.
· Schedules, plans and coordinates agendas for meetings of (i) the Board, and the Board committees, in liaison with the Executive Director, Board Chair and Chairs of the Board committees. Participate in the Chair’s Agenda Review meeting to finalize the draft board agenda.
· Attends all Board and Committee meetings.
· Directs and oversees meeting logistics and the coordination and delivery of materials via electronic methods to the Board, Committees, and others for the meetings of the Board and Committees.
· Complete and circulate the Notice of AGM; prepare an AGM agenda; prepare AGM minutes and complete, for review by the Executive Director, any other filings required for the AGM;
· Records minutes and actions of all Board and Committee meetings where agenda items include discussion on strategic direction, labour relations, and human resources, operational and confidential matters. Arranges for approval of Board and Committee Minutes.
· Plans and arranges orientation sessions for new Directors and new members. Maintains and coordinates the preparation of orientation binders and Board practices and policies. Arranges Board education courses and training sessions as requested.
· Provides efficient, well-organized support directly to the Board and Committee members.
· Provide on-going board governance best practices advice;
· Assist the Executive Director, on an “as needed basis”, on any other matters required by the Executive Director
· Maintains Board Registry List and list of Committee Appointments

Salary: $56,430.00-$62,700.00 per year
