The M&A Associate Director – Corporate Development is a key resource to the VP, Corporate Development for creating financial analysis and supporting processes relating to acquisitions, divestitures, and major partnerships across TAA globally.
As a successful candidate, you will need to demonstrate prior success in rigorous analysis and financial modeling of quantitative and qualitative data, and ability to provide thoughtful insights. You will have meaningful experience leading analysis of acquisitions through development of financial models with multiple cases and scenarios. Experience translating raw financial and operating data into concise, informative reports, and communicating and explaining the results in plain language is required. You must also have strong written and verbal communication skills and will be accountable for summarizing due diligence data for key executives within TAA and Wolters Kluwer Corporate organizations.
This is a critical role within the Corporate Development Department and requires building credibility with colleagues at all levels throughout the organization.
The person in this role can be remote with minimal travel.
Essential Duties and Responsibilities:
Lead creation of Income Statement and Cash Flow financial models from an operating perspective using key performance indicators (KPIs) and other variables as drivers to estimate sales, revenue, and expenses over a multi-year projection period on a monthly/quarterly basis
Create dynamic financial forecast models based on the requirements laid out of senior Corporate Development staff, related to acquisitions and divestitures
Prepare valuation models following the Wolters Kluwer Corporate M&A standards. Key analyses include Return on Invested Capital (ROIC), accretion/dilution analysis, discounted cash flow analysis, and comparable company analysis
Support development of board presentations and memos
Support due diligence activities
Work closely with Directors and VPs of Strategy and Corporate Development to understand the pipeline of opportunities
Support efforts to scan business environment for potential acquisitions which align to strategic growth goals; Present market scan of potential acquisition opportunities, including how respective opportunities would accelerate TAA objectives
Support market research projects, synthesizing and analyzing trends, opportunities, etc., into strategic initiatives
Offer ad hoc support to initiatives within Business Units
Perform other duties as assigned by Vice President, Corporate Development. During peak periods, this position will require long hours and work on weekends.
Qualifications:
Education : Bachelor’s Degree; Certified Public Accountant (CPA) credentials are a plus.
Experience:
A minimum of 1-year of experience working in a role that is highly focused on investment banking or private equity
Formal training in financial modeling either through course or an employer’s training program
Exposure to evaluating software businesses with cloud or subscription revenue models Intellectual curiosity is required; you have the drive to digest all available information to develop a comprehensive work product and gain understanding of underlying drivers of business
Analysis and synthesis of quantitative and qualitative information to determine the financial impact of M&A opportunities against the overall TAA business
Strong interpersonal and leadership skills: Demonstrated ability to work collaboratively with a wide range of individuals at all levels of the organization
Results Driven: Ability to set compelling goals and will be tenacious in accomplishing them
An ability to set priorities, take accountability, and achieve results
Ability to prioritize and handle multiple assignments while managing details, and integrity to maintain strict confidentiality of projects
